Purpose of Portal

This Portal is a fully integrated solution providing information, resources and insights to enable informed decision-making to Users. This Portal is not a substitute or replacement for medical or personal safety advice, which we encourage you to obtain from a medical professional, doctor or other relevant specialist. Intl.SOS will not be responsible for any damages to users of the Portal, however caused.

Intl.SOS retains sole and exclusive ownership of all rights, interests and title in the Portal software and any underlying intellectual property rights and know-how associated therewith or with any part thereto, including without limitation, any and all trademarks, trade names, copyrights, patents and other intellectual property rights used or embodied in or in connection therewith. Nothing in this Terms and Conditions shall prohibit Intl.SOS in any manner from using, developing, marketing, licensing, or otherwise disposing of the Portal or concepts, software or code embodied therein anywhere in the world; nor shall anything herein be construed to grant to the User any rights in or to any present or future services or products of the Intl.SOS, whether or not similar to the Portal.

There is no guarantee or warranty, express or implied (a) of the completeness or accuracy of the data you access, including without limitation, implied warranties of satisfactory quality, fitness for a particular purpose, and (b) that access will be uninterrupted, timely, secure or error free, that defects will be corrected, or that the server that makes it available are free of viruses.  You acknowledge that the Portal provided “as is” and “as available” for your use.  Information on this Portal could include technical inaccuracies or typographical errors. Changes may be periodically made to the information or the products herein.


Limitation of liabilities

IN NO EVENT, IN REGARD TO THIS PORTAL OR ANY OTHER HYPERLINKED PORTAL, WILL ANY COMPANY WITHIN THE INTERNATIONAL SOS GROUP, ANY OF THEIR AFFILIATES, THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES OR AGENTS, INCLUDING ANY THIRD PARTIES MENTIONED AT THIS PORTAL BE LIABLE TO ANY PERSON OR PARTY FOR ANY LOSS, DAMAGES AND/OR INJURY CAUSED BY (INCLUDING BUT NOT LIMITED TO) ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, DIRECT, INDIRECT, SPECIAL OR OTHER CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA ON YOUR INFORMATION HANDLING SYSTEM OR OTHERWISE, EVEN IF WE ARE EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN THE EVENT THAT THIS LIMITATION OF LIABILITY IS UNENFORCEABLE, THE TOTAL LIABILITY OF THE COMPANIES WITHIN THE INTERNATIONAL SOS GROUP, THEIR AFFILIATES, THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES OR AGENTS, INCLUDING ANY THIRD PARTIES MENTIONED AT THIS PORTAL, SHALL BE LIMITED TO THE AMOUNT OF THE CHARGES PAID BY THE CLAIMANT FOR THE ACCESS OF THE PORTAL IN THE TWELVE MONTHS PRECEDING THE CLAIM OR THE AMOUNT OF USD $10,000 IN THE AGGREGATE, WHICHEVER IS THE LESSER.

Through the Portal, you may be able to access obtained from third parties ("Third Party Information"). The Third Party Information are not under Intl.SOS’ control and Intl.SOS shall not be responsible for the contents of any Third Party Information. Intl.SOS shall not be responsible for any form of transmission received from any Third Party Information. Intl.SOS provides such links and information to you only as a convenience, and the inclusion of Third Party Information does not imply endorsement by Intl.SOS of such Third Party Information. You agree that Intl.SOS is not responsible for any content sent through the Portal by any third party.

 

Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the country specified in the Membership Agreement that makes you an eligible user of the Portal.

Any dispute arising out of or in connection with these Terms and Conditions, including any question regarding its existence, validity or termination, shall be referred to and finally resolved pursuant to the dispute resolution clause specified in the Membership Agreement. If there is no applicable clause or valid Membership Agreement, these Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales and any dispute shall be referred to and finally resolved by arbitration in England, conducted by the London Court of International Arbitration (“LCIA”) in accordance with the Rules of the LCIA for the time being in force, which is deemed to be incorporated by reference in this Clause. The number of arbitrators shall be three, with each party appointing an arbitrator and the third arbitrator shall be appointed by the two arbitrators appointed by the parties. The language to be used in the arbitral proceedings shall be English.
